Agreement to Our Legal Terms

We are Fertile Crescent Technologies LLC (“Company,” “we,” “us,” or “our”).

We operate SparkReal, as well as any other related products and services that refer or link to these Terms of Use (collectively, the “Services”).

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Fertile Crescent Technologies LLC, concerning your access to and use of the Services.

By accessing or using the Services, you agree that you have read, understood, and agreed to be bound by these Terms of Use. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

We may update these Terms from time to time. We will alert you about changes by updating the “Last Updated” date. Your continued use of the Services after revised Terms are posted means you accept the updated Terms.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or would subject us to any registration requirement within such jurisdiction or country.

Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

2. Intellectual Property Rights

Our Intellectual Property

We are the owner or licensee of all intellectual property rights in our Services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, content, trademarks, service marks, logos, trade dress, and branding associated with SparkReal.

Our Content and Marks are protected by copyright, trademark, trade dress, and other intellectual property laws and treaties throughout the United States and internationally.

The Content and Marks are provided through the Services “AS IS” for your personal, non-commercial use only.

Your Use of Our Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

Except as expressly stated in these Terms, no part of the Services, Content, or Marks may be copied, reproduced, uploaded, posted, publicly displayed, translated, transmitted, distributed, sold, licensed, or otherwise exploited without our prior written consent.

If you wish to make any use of the Services, Content, or Marks other than as permitted, contact support@sparkreal.xyz.

Any violation of these Intellectual Property Rights may result in immediate termination of your right to use the Services.

3. User Representations

By using the Services, you represent and warrant that:

1. You have the legal capacity and agree to comply with these Terms.
2. You are at least 18 years of age and are not a minor in your jurisdiction.
3. You will not access the Services through automated or non-human means.
4. You will not use the Services for any illegal or unauthorized purpose.
5. Your use of the Services will not violate any applicable law, regulation, or third-party right.

If you provide information that is untrue, inaccurate, not current, or incomplete, we reserve the right to suspend or terminate your account and refuse current or future use of the Services.

4. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available.

As a user of the Services, you agree not to:

• Systematically retrieve data or content from the Services without written permission.
• Trick, defraud, or mislead us or other users.
• Circumvent or interfere with security-related features.
• Harm SparkReal, Fertile Crescent Technologies LLC, or the Services.
• Use information from the Services to harass, abuse, intimidate, exploit, or harm another person.
• Submit false reports of abuse or misconduct.
• Use the Services in violation of applicable laws.
• Upload viruses, malware, spam, or harmful code.
• Use bots, crawlers, scraping tools, or automated systems.
• Remove copyright, trademark, or proprietary notices.
• Impersonate another person.
• Interfere with or disrupt the Services.
• Attempt to bypass access restrictions.
• Reverse engineer or copy the Services.
• Collect usernames, emails, profile information, photos, or other user data for spam or marketing.
• Create accounts under false pretenses.
• Use the Services to compete with SparkReal.
• Use the Services for unauthorized commercial purposes.

Dating-App Specific Prohibited Activities

Users may not:

• Create fake profiles or impersonate another person.
• Use stolen, misleading, AI-generated, or manipulated identity information to deceive others.
• Harass, stalk, threaten, extort, blackmail, or exploit other users.
• Share explicit sexual content, nudity, pornography, or sexually exploitative material.
• Solicit money, gifts, investments, cryptocurrency, loans, or financial assistance.
• Engage in romance scams, catfishing, phishing, fraud, or deceptive conduct.
• Promote escort services, prostitution, sugar dating, or commercial sexual services.
• Share another person’s private information without consent.
• Record, stream, screenshot, or distribute video dates or communications without consent of all participants.
• Circumvent moderation, verification, reporting, blocking, or safety features.
• Use the Services while banned, suspended, or restricted.
• Engage in hate speech, discrimination, or content targeting protected groups.

Violation may result in suspension, termination, content removal, reporting to law enforcement, or legal action.

5. User Generated Contributions

The Services may allow you to create, upload, publish, transmit, display, share, or otherwise make available content, including profile information, photos, videos, profile prompts, messages, comments, feedback, suggestions, and other materials (“Contributions”).

Contributions may be visible to other users.

By creating or making available Contributions, you represent and warrant that:

• You own or have the necessary rights to submit them.
• Your Contributions do not violate any law.
• Your Contributions do not infringe third-party rights.
• Your Contributions are not false, misleading, defamatory, obscene, discriminatory, threatening, abusive, or unlawful.
• You have permission from any person appearing in uploaded photos or videos.
• Your Contributions comply with these Terms and our Community Guidelines.

6. Contribution License

We may access, store, process, reproduce, modify, transmit, and use information and personal data you provide, consistent with our Privacy Policy and your account settings.

By submitting feedback, suggestions, ideas, or feature requests, you agree that we may use such feedback without restriction and without compensation.

You retain ownership of your Contributions.

By posting Contributions through the Services, you grant Fertile Crescent Technologies LLC a worldwide, non-exclusive, royalty-free license to host, store, process, display, reproduce, distribute, and use such Contributions solely for operating, improving, securing, promoting, and providing the Services.

We are not liable for statements, representations, or content submitted by users.

7. Services Management

We reserve the right, but not the obligation, to:

1. Monitor the Services for violations.
2. Take legal action against users who violate law or these Terms.
3. Restrict, suspend, disable, or terminate accounts or content.
4. Remove content that violates our policies.
5. Remove content that is harmful, excessive, or burdensome to our systems.
6. Investigate abuse, fraud, harassment, scams, impersonation, or unsafe conduct.
7. Cooperate with law enforcement where legally required.
8. Manage the Services to protect users and platform integrity.

8. Term and Termination

These Terms remain in effect while you use the Services.

We reserve the right, in our sole discretion and without notice or liability, to deny access, suspend accounts, remove content, restrict features, or terminate accounts for any reason, including violation of these Terms, Community Guidelines, law, safety concerns, fraud prevention, moderation decisions, or business reasons.

If your account is terminated or suspended, you may not create another account under your own name, a false name, a borrowed name, or another person’s name without our written consent.

We reserve the right to pursue civil, criminal, or injunctive remedies where appropriate.

9. Modifications and Interruptions

We reserve the right to change, modify, suspend, discontinue, or remove any aspect of the Services at any time without notice.

We do not guarantee that the Services will always be available.

The Services may experience maintenance, hardware failures, software issues, network interruptions, third-party outages, security incidents, or downtime.

We are not liable for loss, damage, inconvenience, or inability to access the Services resulting from interruptions.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to conflict of law principles.

You consent that the state and federal courts located in Clark County, Nevada shall have jurisdiction over disputes arising from these Terms or the Services, except where arbitration applies.

11. Dispute Resolution

Informal Negotiations

To control the cost of any dispute, controversy, or claim related to these Terms (“Dispute”), the parties agree to first attempt to resolve the Dispute informally for at least 30 days before initiating arbitration.

Binding Arbitration

If the parties cannot resolve a Dispute through informal negotiations, the Dispute shall be resolved by binding arbitration.

Arbitration shall be conducted in accordance with the rules of the American Arbitration Association.

The arbitrator’s decision shall be final and binding.

Restrictions

Any arbitration shall be limited to the Dispute between the parties individually.

No arbitration shall be joined with another proceeding. No Dispute may be arbitrated on a class-action basis or brought in a representative capacity.

Exceptions

The following are not subject to arbitration:

• Disputes involving intellectual property rights.
• Disputes related to theft, fraud, privacy violations, data misuse, or unauthorized access.
• Claims seeking injunctive or equitable relief.
• Matters that cannot legally be arbitrated.

12. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, omissions, pricing errors, availability issues, or other inaccuracies.

We reserve the right to correct errors, inaccuracies, or omissions and to update information at any time without prior notice.

13. Disclaimer

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

TO THE FULLEST EXTENT PERMITTED BY LAW, FERTILE CRESCENT TECHNOLOGIES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF CONTENT, AND AVAILABILITY OF SERVICES.

WE MAKE NO WARRANTIES ABOUT:

• Accuracy or completeness of content.
• Availability or uninterrupted operation.
• Actions of other users.
• Third-party websites, services, ads, or applications.

We assume no liability for errors, personal injury, property damage, unauthorized access, service interruptions, malware, or losses arising from content posted or made available through the Services.

Use of the Services is at your own risk.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FERTILE CRESCENT TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF:

1. THE AMOUNT PAID BY YOU TO US DURING THE TWELVE MONTHS PRECEDING THE CLAIM; OR
2. ONE HUNDRED U.S. DOLLARS ($100 USD).

Some jurisdictions do not allow certain disclaimers or limitations, so some limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Fertile Crescent Technologies LLC, its affiliates, officers, directors, employees, contractors, agents, partners, licensors, and service providers from and against any loss, damage, liability, claim, demand, action, cost, or expense, including reasonable attorneys’ fees, arising out of or related to:

1. Your use of the Services.
2. Your violation of these Terms.
3. Breach of your representations, warranties, or obligations.
4. Violation of law or third-party rights.
5. Content or materials you submit through the Services.
6. Harmful, fraudulent, abusive, harassing, defamatory, or unlawful conduct toward another user.

We reserve the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense.

16. User Data

We maintain certain information and data you provide for operating, maintaining, improving, securing, and administering the Services.

Although we perform routine backups and security measures, you are responsible for maintaining copies of information you submit.

To the maximum extent permitted by law, we are not liable for data loss, corruption, unauthorized access, service interruptions, or accidental deletion of user content.

17. Electronic Communications, Transactions, and Signatures

By using the Services, sending emails, creating an account, submitting forms, or completing transactions, you consent to receive communications electronically.

You agree that electronic agreements, notices, disclosures, policies, records, and communications satisfy any legal requirement that such communications be in writing.

You agree to the use of electronic signatures, records, contracts, notices, and transactions.

You waive rights requiring original signatures, paper records, or non-electronic retention, except where prohibited by law.

18. Miscellaneous

These Terms, together with our Privacy Policy, Community Guidelines, Safety Center policies, and additional policies referenced in the Services, constitute the entire agreement between you and Fertile Crescent Technologies LLC.

Failure to enforce any provision does not waive that provision.

If any provision is unlawful, invalid, or unenforceable, that provision will be severed and the remaining provisions remain in effect.

We may assign our rights and obligations without restriction.

You may not assign your rights or obligations without our written consent.

Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency relationship.

We are not liable for delays or failure to perform caused by events beyond our reasonable control, including natural disasters, cyberattacks, government actions, labor disputes, internet outages, or third-party provider failures.
